    Thanks for the encouragement. We think this topic is “big enough” to warrant specific focus. After all, virtually every successful company has a buy-sell agreement by one name or another. I’d sure appreciate any thoughts you have for areas to write about.

  3. Most Buy-Sell agreements fail to allow for the ‘unexpected’ which then turns out to be the real-world situation. Picking some single metric (e.g. multiple of sales, or EBITDA multiple)in advance, just begs for problems down the line when ‘unusual’ circumstances affect the validity of the specific metric used in the agreement.

    If you can write a good article, or book chapter, on this it would be well received in the valuation profession.

    I did write a book, “Buy-Sell Agreements: Ticking Time Bombs or Reasonable Resolutions?”, which attempts to address a number of the ‘unusual” circumstances you mention.
